Terms of Use
Effective from: 1 November 2026
1. General
- These terms apply to everyone who uses simplify-tech.vn or the services of Simplify Technology Joint Stock Company ("Simplify"), including individuals, organisations, businesses and their representatives.
- Individual clients must be 18 or older.
- By accessing the website, signing up for a trial or signing up for our services, you agree to these terms. If you do not agree, please stop using the website.
- You must give Simplify complete and accurate basic information (name, address, email, phone number and any other details needed).
2. Services and separate contracts
Simplify provides website design and development, website operations, e-commerce solutions and the Salify platform. The scope, fees, timeline and quality commitments of each project are set out in the quote and service contract signed by both parties. Where they differ from these terms, the service contract prevails.
3. Website information
Content on this website is general information. We aim to keep it accurate and current, but service descriptions, features and pricing may change without notice. The price that applies to your project is the one in the quote both parties have confirmed.
3a. Free trial
- For the Starter and Commerce plans, Simplify builds you a trial website on a Salify subdomain, free of charge and with no payment up front. Your trial site is ready within the same working day we confirm your trial request.
- A trial runs for 7 days. A trial site is for evaluating the service only, and each business may have one trial.
- If you continue, the site and its content carry over to your paid plan.
- If you don't, the trial site is taken offline on day 7, and all of its content and data are deleted 30 days after it goes offline. During those 30 days you can still contact us to continue with the content you already have.
- Simplify may decline or end early any trial that breaches Section 5.
4. Intellectual property
The Simplify and Salify names, logos, designs, platform source code and website content belong to Simplify or its licensors and are protected by law. You may not copy, distribute or use them commercially without Simplify's written consent.
Content, images, trademarks and data supplied by clients remain the client's property. Rights to use designs and the platform for a client's website are set out in the service contract.
5. Client responsibilities for websites and services
When using our services, you agree to:
- Use your website for lawful purposes and take responsibility for how it is used.
- Not use the website or services for any purpose that breaks Vietnamese law, such as harming national security, disturbing public order, offending public morals, trading prohibited goods or services, infringing third-party rights or distributing malware; and to monitor and prevent others from doing so on your website.
- Take responsibility for the accuracy of the content, images and products published on your website, and hold all necessary rights to the content and trademarks you give us.
- Comply with the law on industrial property, copyright, Internet services and advertising.
- Complete the legal formalities that apply to your business, including notifying or registering your e-commerce website with the Ministry of Industry and Trade where required. Simplify can advise and help with the paperwork by agreement.
- Keep your website admin password and account details safe. If your password is lost or exposed, or you notice unauthorised access through your account, tell Simplify immediately. Simplify is not liable for losses caused by a failure to keep the admin accounts we provide secure.
Simplify may suspend or terminate service for a website that breaches these commitments or the commitments in the contract. Simplify will notify the client first, except where immediate action is required by a competent authority or to prevent serious harm (for example, a website distributing malware).
6. Payment
- Fees, payment schedule and payment method follow the quote and contract. Unless the contract sets a different schedule, the client pays 100% of the fees in the contract immediately after signing, by one of the payment methods Simplify accepts.
- Fees already paid are not refunded if the client terminates the contract unilaterally.
- Recurring maintenance and operations fees are paid before the current service period ends; the client keeps the receipts for renewal payments. If payment is overdue, Simplify may suspend service after giving notice.
- Any request to change the contract must be sent to the other party in writing at least seven (7) days in advance. Costs arising from a change are paid by the party that requested it.
7. Operations, backups and availability
Simplify works to keep client websites running continuously and backs up data every week. Service may be interrupted by scheduled maintenance (announced in advance where possible), infrastructure provider incidents or force majeure. Specific uptime and response-time commitments, if any, are set out in the service contract.
If a client complains about service quality, Simplify will receive and resolve the complaint promptly within the scope of its responsibility.
8. Limitation of liability
To the extent permitted by law, Simplify is not liable for indirect damages, lost profits or data loss arising from client-supplied content, third-party actions, or force majeure such as natural disasters, fire, or server hardware failure beyond Simplify's control. Simplify's total liability for a project shall not exceed that project's contract value, unless the contract states otherwise.
9. Timelines, extensions and force majeure
- If the client does not supply the content or information the website needs, Simplify is not responsible for delays to the contract timeline.
- If the client wants to extend the website or add features or technical specifications, the parties sign an addendum or a new contract for that work.
- If a force majeure event such as a natural disaster, fire or catastrophe occurs, the parties will discuss and agree a revised timeline for the contract.
10. Third-party links
This website may link to third-party websites. Simplify does not control and is not responsible for their content or policies.
11. Personal data
Personal data is collected and processed under our Privacy Policy.
12. Termination
Termination of services follows the contract. On termination, Simplify helps the client export content and product data within 30 days; after that period, data may be deleted.
13. Governing law and disputes
These terms are governed by the laws of Vietnam. Disputes will first be settled by negotiation; failing that, they will be brought before the competent People's Court in Ho Chi Minh City.
14. Changes
Simplify may update these terms from time to time. A new version takes effect from the date it is posted on the website; continuing to use the website or services after that date means you accept the updated terms. Contracts already signed continue to follow their own terms.
